01Your agreement with us

These Terms of Service ("Terms") govern your use of usetobin.com, the Tobin workspace at app.usetobin.com, and related onboarding, support, apps, and automation services (together, the "Services"). The Services are provided by Keystone Labs LLC, a United States company ("Keystone Labs," "we," "us," or "our").

By creating an account or using the Services, you agree to these Terms. If you use Tobin for a company or other organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use the Services. You must be at least 18 and legally able to enter into this agreement.

A separately signed services agreement, order form, or data processing agreement controls over these Terms to the extent of a conflict on the subject it covers. Our Privacy Policy explains how personal information is handled; it does not replace any required data processing agreement.

02What Tobin provides

Tobin helps businesses work with information, prepare and review work, build workspace apps, configure workflows, and identify useful next steps with AI and human onboarding support. Features, integration availability, access limits, and support scope depend on your workspace configuration and any applicable order.

Website examples use fictional data and illustrate possible configurations. They are not commitments that a particular integration, workflow, outcome, or feature is available for your business. A demo request does not create a paid subscription. Any implementation scope and charges must be agreed with you.

We may improve or change the Services. Trials, pilots, and experimental features may have additional limits and may be changed or discontinued. Any service levels or dedicated support commitments must be expressly agreed in writing.

03Accounts & workspace responsibility

Provide accurate account information, keep your sign-in credentials secure, and notify us promptly of suspected misuse. You are responsible for activity by people you authorize and for managing workspace membership, roles, shared records, and access to connected accounts.

If your organization controls a workspace, its authorized administrators manage it according to available permissions. Do not assume that material you share with your team is private from the people to whom you give access. Your organization is responsible for appropriate employee and customer notices and for lawful instructions to us.

04AI output & your review

AI can produce inaccurate, incomplete, outdated, or unsuitable results, including incorrect facts, calculations, code, and suggested actions. Output may resemble output supplied to others and may not qualify for intellectual-property protection. You must evaluate it and verify relevant source records before relying on, sharing, publishing, or acting on it.

Tobin does not provide legal, tax, accounting, investment, medical, or other licensed professional advice. Use appropriately qualified professionals for decisions that require them. Do not use Tobin as the sole basis for decisions with significant legal, financial, employment, health, safety, or similar consequences.

You are responsible for configuring and monitoring workflows, confirming recipients and amounts, checking generated apps and code, and reviewing proposed actions. Available approval controls depend on the feature and configuration. When you activate a recurring workflow or grant a standing authorization, work may run later within that authorization until paused, revoked, or otherwise ended. Do not assume every future step requires another prompt for approval.

05Connected services & authorizations

Connect only accounts and information you are authorized to use. A connection authorizes Tobin to access and process data within the permissions you grant for the available feature. Google sign-in is separate from granting access to Drive or another connected service.

Third-party services, including Google, Intuit QuickBooks, and AI providers, have their own terms, policies, availability, and limits. You remain responsible for your accounts and obligations to those providers. We do not guarantee their uninterrupted availability or that all integrations support every record or action.

Review any available action preview and approval request carefully. You are responsible for the instructions and permissions you provide. You may disconnect or revoke provider access, but this may stop dependent workflows and does not automatically undo completed actions or delete previously imported information. Our Privacy Policy explains connection and deletion choices.

06Your content & generated work

“Customer Content” means information, files, messages, records, and other material you or your authorized users submit or connect to Tobin. You retain your rights in Customer Content. You represent that you have the rights, permissions, and lawful basis needed for us to process it as instructed.

You grant us a limited right to host, copy, process, transmit, and display Customer Content as needed to provide the Services to you, maintain their security, provide requested support, and comply with law. This does not give us ownership of your content or permission to sell it or use it to train general-purpose AI models.

As between you and Keystone Labs, and to the extent permitted by law, you own the output generated for you from your use of the Services, and we assign to you any rights we may have in that output. This does not transfer ownership of our pre-existing software, templates, tools, or other technology, or any third-party material included in the output. You receive the right to use our included technology as necessary to use the Services and your generated work, subject to these Terms and applicable third-party licenses.

07Acceptable use

Use Tobin lawfully and within the permissions and limits of your workspace. You must not:

  • Use the Services to commit fraud, impersonate others, send unlawful spam, harass people, or violate privacy, intellectual-property rights, or other applicable laws.
  • Access another person’s data without authority, bypass review or access controls, probe or disrupt systems without permission, or distribute malicious code.
  • Misrepresent AI output as independently verified, or automate consequential decisions without the oversight and safeguards required for that use.
  • Submit highly sensitive or regulated information, including protected health information, payment-card data, passwords, or government identifiers, unless we expressly agree to support that use with appropriate safeguards.
  • Resell access to the Services, evade usage limits, or reverse engineer protected components except to the extent applicable law permits it.
  • Use the Services in violation of applicable sanctions, export controls, or the rules governing a connected provider.

08Fees, renewals & cancellation

If you purchase paid Services, the applicable order or checkout must specify the price, billing interval, scope, usage limits, and any renewal terms before you commit. You authorize only the charges agreed there and are responsible for applicable taxes other than taxes on our income. Additional paid scope requires your agreement.

Cancellation, refunds, renewal, and any notice period follow the terms disclosed in that order or checkout and applicable law. These Terms alone do not enroll you in automatic renewal. Contact hello@usetobin.com for billing or cancellation requests. We will not apply a price increase to an already paid period; changes for future periods require notice and any consent required by law or your agreement.

09Confidentiality & our technology

Each party will use the other’s non-public business information only to perform this agreement, protect it with reasonable care, and disclose it only to people or service providers who need access and are subject to appropriate confidentiality obligations. This does not restrict information that is public through no fault of the recipient, already lawfully known, independently developed, or lawfully received from another source. Legally required disclosures are permitted, with notice where lawful.

We and our licensors retain rights in Tobin’s software, design, branding, and underlying technology. Subject to these Terms and any applicable order, we grant you a limited, non-exclusive right to use the Services for your business. Feedback you voluntarily provide may be used to improve Tobin without compensation, but does not authorize disclosure of your confidential information or use of Customer Content to train general-purpose models.

10Suspension & ending service

You may stop using the Services and request account closure at any time, subject to any commitments in your applicable order. Disconnect external services and pause active workflows when ending use. Contact us about obtaining available copies of your data and requesting deletion.

We may suspend or terminate access for a material breach, nonpayment of agreed fees, a security or abuse risk, a legal requirement, or discontinuation of the Services. Where reasonably practical, we will give notice and an opportunity to address a remediable issue; urgent security or legal situations may require immediate action. Applicable paid-service agreements control any additional notice, refund, and data-return obligations.

After termination, your right to use the Services ends. Data handling follows our Privacy Policy, applicable customer agreements, and law. Provisions that by their nature should survive—including payment obligations already incurred, ownership, confidentiality, liability limits, and dispute provisions—continue to apply.

11Service disclaimers

To the extent permitted by law, and except for express promises in a separate written agreement, the Services and output are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services or output will be error-free, uninterrupted, completely secure, or suitable for every business purpose, or that they will produce a particular financial or operational result.

These disclaimers do not limit warranties, remedies, or other rights that applicable law does not allow us to exclude.

12Limits on liability

To the extent permitted by law, neither party is liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, or business opportunities. Each party’s total aggregate liability arising from these Terms or the Services is limited to the greater of US $100 or the fees you paid Keystone Labs for the Services in the 12 months before the event giving rise to the claim.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, your obligation to pay fees properly due, or liability that cannot be excluded or limited by law. A separately signed agreement may provide different liability terms. Nothing here limits mandatory consumer or privacy rights.

13Disputes & general terms

Please first contact hello@usetobin.com with a description of a dispute so we can try to resolve it. This does not prevent either party from seeking urgent relief, meeting a legal deadline, or exercising a non-waivable right. Unless a separately signed agreement provides otherwise, disputes may be brought in a court that has jurisdiction under applicable law. These Terms do not require private arbitration or waive class-action rights.

These Terms and applicable orders are the agreement about the Services. If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. Neither party may assign this agreement without the other’s consent, except in connection with a merger, reorganization, or sale of the relevant business, subject to applicable law and any required consent for personal information. Assignment does not remove existing privacy obligations.

14Changes & contact

We may update these Terms for changes to the Services or legal requirements. We will post the updated Terms and effective date, and give reasonable advance notice of material changes through the Services or by email, except where a legal or urgent security requirement calls for an earlier change. Changes apply prospectively. Where additional agreement is required, we will obtain it. If you do not accept a change, stop using the affected Services and contact us about ending them under your applicable agreement.

Questions about these Terms can be sent to Keystone Labs LLC, United States, at hello@usetobin.com.
